Terms of Service

1. Our Services

Sysniaga provides website design, website repair and maintenance, image and video production, Google Business Profile setup, Google Ads setup and management, and Facebook and TikTok content management. The exact services you receive are set out in your quotation or invoice.

2. Scope

We deliver the scope described in your quotation or invoice. Changes to scope, such as additional pages, features or deliverables, must be agreed in writing (WhatsApp is fine) and may be charged separately. New features or big edits are not part of a monthly retainer and are quoted separately.

3. Client Responsibilities

• The accuracy and legality of the content you supply or approve.
• Making sure your business complies with Malaysian laws and the rules of the platforms you advertise on.
• Giving timely feedback, photos and approvals so we can keep to schedule.
• The commercial results of your business, which we work to improve but cannot guarantee.

4. Payment

• Websites: a 30% deposit starts your project. The balance is due as stated in your invoice.
• Monthly services (Google Ads retainer, Facebook & TikTok management): billed in advance each month. Work begins once the first payment is received.
• Late payments: we may pause active services until outstanding invoices are settled.

5. Deposits and Refunds

Because every website is handcrafted and work begins as soon as your deposit is received, deposits and payments for website projects are not refundable once a project is confirmed and paid. We work with you through up to 3 revisions to make sure you are happy with the result. The Google Business Profile guarantee in section 7 is the exception.

6. Google Ads

• Our setup fee covers creating your Google Ads account and campaigns and managing your first month. The monthly retainer after that is optional.
• Your ad spend is paid directly to Google with your own payment card. It is separate from our fee and is not refundable by Sysniaga.
• Retainer pricing depends on your daily ad budget. If your budget moves to a higher tier, we invoice the new tier.
• Google decides whether ads and accounts are approved. We cannot guarantee specific results such as clicks, leads or sales.

7. Google Business Profile Guarantee

• Your business must be real and serve customers in person, at your location or in the areas you serve. Online-only businesses are not eligible.
• Your business name must match the name you use in real life.
• You must complete the verification step Google asks for (for example, a short video).
• Google makes the final decision and sets the timing. If Google does not verify your profile after you have completed the required steps, we refund the RM250 fee in full within 7 days.
• If the verification step Google asks for is not completed, the fee is not refundable.

8. Facebook & TikTok Management

• The minimum period is 3 months. After that, the service continues month to month. To stop, just give us 30 days’ notice in writing (WhatsApp or email is fine).
• Content is AI-generated, planned in a monthly calendar and scheduled at the start of each month.
• Replying to comments and direct messages is not included.
• Ad spend for boosting posts is separate from our fee.

9. Intellectual Property

Sysniaga retains copyright over the work, code and materials we produce until the project fee is paid in full. Once paid, you receive a licence to use the deliverables for your business. You may not resell or sub-license our work to third parties without written consent. Content, images, logos and materials you supply remain yours.

10. Accounts and Access

Where accounts are created for you (website admin, Google Ads, Google Business Profile, social media), keep your login details safe and tell us immediately if you suspect unauthorised access.

11. Portfolio

We may show your business name, website and the work we did for you in our portfolio and marketing, unless you ask us not to in writing.

12. Termination

We may suspend or end a service if payment is more than 14 days overdue, or if these terms are seriously breached and not fixed within 7 days of notice. When a service ends, we give you reasonable time to take over access and files. Archived project data is kept for 90 days and then deleted, unless agreed otherwise.

13. Changes to Services and Pricing

We may change our services or prices. For ongoing monthly services, we tell you at least 30 days before a price change takes effect.

14. Acceptable Use

Our services may not be used to create or publish content that is unlawful, defamatory, discriminatory, harassing, spam, or that infringes anyone’s rights. We may refuse or stop work that conflicts with this.

15. Warranty Disclaimer

Our services are provided "as is". We do not warrant that services will be uninterrupted or error-free, or that specific business results will be achieved.

16. Limitation of Liability

To the fullest extent permitted by Malaysian law, our total liability for any claim relating to our services is limited to the fees you paid us in the three months before the claim. We are not liable for indirect or consequential losses, such as lost profits or business opportunities.

17. Indemnification

You agree to indemnify Sysniaga against claims, losses and expenses (including legal fees) arising from your use of our services, your breach of these terms, or content you provide or approve. We will indemnify you against claims arising solely from our gross negligence or wilful misconduct.

18. Governing Law

These Terms of Service are governed by the laws of Malaysia. Both parties agree to try to resolve any dispute in good faith before going to the Malaysian courts.
